Terms of Service

1. Acceptance of Terms

By accessing and using BrightCrest Education's website and services, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Description of Service

BrightCrest Education provides IT consulting services for startups, including but not limited to:

  • Strategic business consulting
  • Technology guidance and assessment
  • Growth and scaling support
  • Funding preparation and strategy
  • Operational optimization

3. Client Responsibilities

As a client of BrightCrest Education, you agree to:

  • Provide accurate and complete information
  • Cooperate fully in the consulting process
  • Make timely payments for services rendered
  • Maintain confidentiality of proprietary methodologies
  • Comply with all applicable laws and regulations

4. Payment Terms

4.1 Fees and Payment

Payment terms will be specified in individual service agreements. Unless otherwise agreed:

  • Monthly retainer fees are due in advance
  • Project-based fees are due according to agreed milestones
  • Late payments may incur interest charges of 1.5% per month
  • All fees are in Canadian dollars unless otherwise specified

4.2 Refund Policy

Refunds may be provided at our discretion for services not yet rendered. Completed work is generally non-refundable unless otherwise specified in the service agreement.

5. Intellectual Property

5.1 Client IP

All intellectual property owned by the client before the engagement remains the property of the client.

5.2 Work Product

Work product created specifically for the client during the engagement becomes the property of the client upon full payment, except for our proprietary methodologies and tools.

5.3 BrightCrest IP

Our proprietary methodologies, frameworks, and tools remain our intellectual property.

6. Confidentiality

Both parties agree to maintain strict confidentiality regarding:

  • Proprietary business information
  • Technical specifications and strategies
  • Financial information
  • Any information marked as confidential

7. Limitation of Liability

BrightCrest Education's liability is limited to the amount paid for services during the 12 months preceding the claim. We are not liable for:

  • Indirect, incidental, or consequential damages
  • Loss of profits or business opportunities
  • Damages resulting from third-party actions
  • Force majeure events

8. Warranties and Disclaimers

We provide our services "as is" and make no warranties except those expressly stated in individual service agreements. We disclaim all implied warranties including merchantability and fitness for a particular purpose.

9. Termination

9.1 Termination by Client

Clients may terminate services with 30 days written notice. Fees for work completed are non-refundable.

9.2 Termination by BrightCrest

We may terminate services immediately if:

  • Payment terms are violated
  • Client breaches confidentiality agreements
  • Client engages in illegal activities
  • The working relationship becomes untenable

10. Force Majeure

Neither party shall be liable for delays or failures in performance resulting from acts beyond reasonable control, including natural disasters, government actions, pandemics, or other force majeure events.

11. Dispute Resolution

11.1 Mediation

Disputes will first be addressed through good faith negotiations and, if necessary, mediation.

11.2 Arbitration

If mediation fails, disputes will be resolved through binding arbitration in Manitoba, Canada, under Canadian arbitration rules.

12. Governing Law

These terms are governed by the laws of Canada and the province of Manitoba, without regard to conflict of law principles.

13. Amendments

We reserve the right to modify these terms at any time. Changes will be effective upon posting on our website. Continued use of our services constitutes acceptance of modified terms.

14. Severability

If any provision of these terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

16. Entire Agreement

These terms, together with any individual service agreements, constitute the entire agreement between the parties and supersede all prior communications and agreements.
